These terms apply to all professional engagements provided by Fiscalité Signature Inc. ("the Firm"). A separate engagement letter is signed for each file and sets out scope, fees, and specific responsibilities. In case of conflict, the engagement letter prevails over these general terms.

1. Scope of engagement

The Firm operates within its professional scope: corporate and personal taxation, accounting, financial statements, and corporate restructuring. Investment advice, securities advice, insurance advice, and financial planning within the meaning of Quebec's Act respecting the distribution of financial products and services are NOT provided by the Firm and fall under the Autorité des marchés financiers (AMF).

2. Fees

Fees are fixed or capped depending on the engagement type and are communicated in writing before work begins. No fees are payable before acceptance of the engagement letter. Disbursements (external costs, taxes, government fees) are billed in addition, with supporting documents.

3. Payment

Payment due within 30 days of billing. Accepted methods: bank transfer · Visa · MasterCard · cheque. Late payments may bear interest at an annual rate of 12%.

4. Outcomes — limitation

Advice, recommendations, and strategies provided by the Firm are based on the facts, documents, and representations communicated by the client, and on the tax legislation in force at the engagement date. Tax or financial outcomes depend on the facts of each file and on subsequent legislative changes. No specific result is guaranteed.

5. Confidentiality and professional secrecy

Information communicated by the client is protected by the professional secrecy binding members of their respective professional order (section 9 of Quebec's Charter of Human Rights and Freedoms). See also our Privacy Policy.

6. Professional liability

The Firm and its co-founders carry the professional liability insurance required by their professional order. The Firm's maximum liability is limited to the fees received for the engagement concerned, except in cases of gross negligence or breach of ethics.

7. Client obligations

The client undertakes to provide complete, accurate, and timely information. Delays or inaccuracies originating from the client may result in additional fees, interest, or penalties from tax authorities — under the client's sole responsibility.

8. File retention

In accordance with professional-order requirements and Canadian tax obligations, files are retained for a minimum of 7 years after engagement end. Beyond that, they may be securely destroyed.

9. Termination

Either party may terminate the engagement with reasonable notice. Fees earned and disbursements incurred up to the termination date remain due. The Firm returns all original documents to the client, subject to full payment of fees.

10. Complaints and recourse

Any complaint about the quality of our services may be submitted in writing. An unresolved complaint may be brought to the syndic of the relevant professional order.

11. Governing law

These terms are governed by the laws of Québec and Canada. Any dispute will be brought before the courts of the judicial district of Beauharnois (Salaberry-de-Valleyfield).

12. Changes

The Firm reserves the right to amend these general terms. Amendments do not affect engagements already in progress, which remain governed by the terms in force when signed.
